EXTENSION OF DUE DATE FOR RESPONSES

The Florida PACE Funding Agency (the “Agency”) is issuing this addendum to the referenced request for proposals (“RFP”) to modify the date on which the Response is due. Responses to FPP 2012-001 must be filed no later than 1:00 p.m. EST on Wednesday, February 8, 2012.

The Proposal shall be delivered no later than 1:00 p.m. EST on February 8, 2012, to:

ADDENDUM TO FPP 2012-001

The Florida PACE Funding Agency has issued an addendum to the referenced request for proposals (RFP) for third party administration and/or program financing services (banking and investment banking services). The Addendum answers questions concerning the RFP and amends RFP page 23 of 28. The Addendum will also be posted to the Onvia DemandStar web site.

The due date for proposals remains no later than 1:00 p.m. (ET) on February 2, 2012.

The Florida PACE Funding Agency (the “Agency”) has issued a request for proposals from qualified firms or teams of qualified firms to provide third party administration and/or program financing services (banking and investment banking services) to the Agency in connection with the implementation and operation of the Agency’s property assessed clean energy improvements program. NOTICE OF ADDENDUM

September 26, 2011

The Florida PACE Funding Agency announces the following addendum and Response to Questions for FPP 2001-001.

Due to technical functional operations at FloridaPACE.org, the email address procurement@floridaPACE.gov has not been forwarding questions to the appropriate procurement officers for the Agency which were submitted by the September 14, 2011 deadline for submission of questions. This error was discovered Monday, September 26, 2011. In order to provide a level playing field to all respondents, Section 5.2 of RPP 2011-001 is modified as follows to provide an extension of the due date for submission of RFP responses to September 30, 2011:

5.2 Procurement Schedule

The Agency anticipates carrying out the procurement process for Financial Advisory Services for the Agency in accordance with the following revised schedule. The Agency reserves the right at its sole discretion to revise the schedule and other aspects of the RFP by issuing addendums to the RFP at any time before the due date. The Agency will post notices of any addendums to the RFP on the Website and each potential Respondent must register with Demand Star in order to receive addendums and responses to questions. Respondents are responsible for monitoring the Website for information concerning the Program. All Respondents are required to acknowledge that they have received and reviewed all materials posted on the Website or provided through Demand Star.

September 2, 2011 RFP Issued

September 30, 2011 Proposals due @ 2:00 PM

Any Responses that have been filed with the Agency before the original due date of September 28, 2011 may be rescinded and resubmitted if the Responding party believes that the answers to the following questions would necessitate a change in their response. However, if no changes are required or desired to be made in the Response as filed, a new Response is not required to be filed.

The Agency will reject and not consider any Proposals received after the due date and time. Respondents are solely responsible for assuring that the Agency receives the Statement by the due date and time at the address listed above.

The following Questions have been posed to the Agency, and their responses are set forth below:

1. Does counsel to the Agency expect all or any portion of the debt to be issued tax exempt? If so, what portion? What portion of debt may be subject to AMT?

ANSWER: At this time, none of the Agency’s debt is expected to be issued on a tax-exempt basis. If laws and applicable regulations change, the Agency would pursue tax-exempt debt to lower financing costs.

2. Under the Cone of Silence are respondents precluded from conducting normal course of business (unrelated to Florida PACE) in serving an existing client base which may include contacting Agency officers, directors or Agency agents?

ANSWER: No, regular contractual services (unrelated to PACE issues) may be provided without regard to the “cone of silence”.

3. Under Tab 2 of the Response will the Agency be providing a form of indemnification uniform for all Respondents?

ANSWER: The Agency will negotiate a standard agreement with each selected financial advisory firm.

4. Under Tab 3 does the three, but not more than seven language apply to each firm or the Respondent collectively assuming there is a teaming of more than one firm as a Respondent?

ANSWER: The Tab refers to the number of references the responder is requested to provide. A total of at least three but not more than seven references are requested. This is on a team basis, not an individual firm basis (if a teaming arrangement is selected by the respondent).

5. If oral presentations are determined to be necessary what would the scheduling be for Financial Advisors?

ANSWER: It is expected that the oral presentations would be made to the Board once it is seated, but may be scheduled before the Executive Director and /or those additional persons who he designates.

6. While the RFP states the Agency has no assets how does the Agency planning on funding any of the initial start up cost from 3rd parties?, i.e. rating agency, legal fees from financial institutions who may provide the revolving sources of funds and who do not work on a contingency basis?

ANSWER: Until start-up funds are obtained through the receipt of a grant, an advance from one or more contracting parties, or another source not yet identified, all costs and fees accrue on a contingent basis.

7. Please clarify the role of the Third Party Administrator. Will they also provide investment banking services?

ANSWER:  The RFI process and subsequent RFP process will solidify the scope of services to be provided by the Third Party Administrator (TPA); and whether or not the

TPA will also be providing investment banking services. The role of the TPA is designed to be a provider of all necessary administrative services as an agent of the Agency. While the TPA may team with one or more investment banking firms to respond to the RFI, the roles are distinct.  During the RFI process associated with seeking third party administration services, after reviewing the responses to the RFI and after receiving input from the selected financial advisory firms, the Agency will have the opportunity to better articulate in the RFP the scope of relationship for the providers of TPA and investment banking services.  The RFI is designed to seek and allow for providers to suggest approaches of all variety and
alternatives to advance the Agency’s program.


 

UPDATE NOTICE

On September 7, 2011, the Florida PACE Funding Agency deactivated their Request for Information (FPI 2011-001) and shortly thereafter re-activated FPI 2011-001.  The sole purpose of the deactivation and reactivation was to enable DemandStar to resend an automatic notice of the posting of FPI 2011-001 to a wider range of recipients.  No changes were made in RPI 2011-001.
